Terms and Conditions 

These terms and conditions govern the use of Monitrue’s products, including the Web App, iOS/Android mobile apps, and all associated content, services, and features available through the website or mobile applications. These offerings are owned and operated by Monitrue s.r.o. (hereafter referred to as “the company”). By accessing or using these services, you agree to abide by the terms outlined in this agreement, which includes all operational policies, guidelines, and the Privacy Policy. Updates to these policies may occur periodically and are collectively referred to as the “Agreement.” 

Please review these terms carefully before using any of the company’s products. Your continued access signifies acceptance of the Agreement. If you do not agree with any part of these terms, you are not permitted to use the services. Acceptance is strictly limited to the conditions stated herein. 

The company reserves the right to modify these terms or introduce additional conditions. Changes take effect immediately and will be documented in the Changelog at the end of these Terms of Service. Updates may apply retroactively and to all existing users. 

Failure to enforce any part of these terms immediately does not constitute a waiver of the company’s right to take action in the future. 

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining terms will continue to apply. Section headings in this document are for reference purposes only and have no legal or contractual significance. 

Content of Terms 

    1. Your Monitrue Account and Site 
      If you have an account on its platform, you are responsible for maintaining the security of your account credentials, including your email, password, and API keys. Any activity that occurs under your account is your sole responsibility. You must not use the services in a misleading or unlawful manner, including actions that infringe upon the name or reputation of others. The company reserves the right to remove any content it deems inappropriate, unlawful, or likely to result in liability. Any unauthorized access or security breaches must be reported immediately. Monitrue is not liable for any damages resulting from unauthorized use or security issues related to your account. 

    1. User Responsibilities 
      By using the services, you agree to: 

    • Provide accurate user information (such as email and name). 

    • Refrain from using the platform for illegal or abusive activities. 

    • Secure your account credentials, including email, password, and API keys. 

    • Maintain only one account per user. 

Monitrue reserves the right, at its sole discretion, to: 

    1. Remove or refuse content (monitors) that violates the policies or is deemed harmful. 

    1. Terminate or deny access to the platform for any individual or entity without obligation to issue refunds for previously paid amounts. 

    1. Services Provided by Monitrue 
      Monitrue monitors online resources at user-defined intervals and alerts designated contacts via email, SMS, or push notifications when downtime is detected. Monitoring services include: 

    • Website Status Monitoring  

    • Domain Status Monitoring 

    • SSL Expiry Monitoring 

Permitted Use of the Free Plan 
The Monitrue Free Plan is intended for personal, non-commercial use only. It is designed for individuals monitoring personal websites, projects, or applications. The Free Plan cannot be used for business or revenue-generating purposes. 

Prohibited Use Cases for the Free Plan 

Users may not use the Free Plan for: 

    • Monitoring business websites, applications, or revenue-generating services. 

    • Supporting websites or applications associated with commercial organizations. 

    • Embedding uptime data in business reports, client presentations, or marketing materials. 

For commercial needs, users must subscribe to a business plan that aligns with their requirements. 

Sponsored Subscriptions for Non-Profit and Open-Source Initiatives 
Monitrue supports non-profit organizations, charities, and open-source projects by offering sponsored subscriptions that provide access to premium features at no cost. If you represent a non-profit, charitable initiative, or open-source project and wish to apply, please contact our support team for eligibility details and application procedures. 

    1. Delivery Policy 
      Once your order is received, Monitrue will provide the services in accordance with the terms applicable to your purchase. The nature of the service and the purchase date may influence the delivery timeframe. Services will be considered successfully delivered once they have been performed. 

    1. Intellectual Property 
      This Agreement does not grant you any intellectual property rights from Monitrue or third parties. All rights, titles, and interests remain with Monitrue. The Monitrue name, logo, and associated trademarks are owned by Monitrue or its licensors, while other trademarks may belong to third parties. Using the services does not give you any rights or licenses to these trademarks. 

    1. Advertisements 
      It also reserves the right to display advertisements on your account. 

    1. Changes to Terms 
      Monitrue may modify or replace any part of this Agreement at its sole discretion. It is your responsibility to review these terms periodically. Continued use of the services after changes are posted constitutes acceptance of the updated Agreement. It may also introduce new features or services, which will be subject to these terms. 

    1. Termination of Service 
      Monitrue also reserves the right to terminate your access to its services at any time, with or without notice, for any reason. If you wish to close your account, you may stop using the services. Certain provisions, including those related to ownership, warranties, indemnification, and liability limitations, will remain in effect even after termination. 

    1. Disclaimer of Warranties 
      This provides services “as is” and disclaims all warranties, express or implied, including warranties of merchantability, fitness for a specific purpose, and non-infringement. Monitrue does not guarantee error-free operation or uninterrupted access. Any content or services obtained through Monitrue are used at your own risk. 

    1. Limitation of Liability 
      Monitrue, along with its suppliers and licensors, will not be liable for:  

    • Special, incidental, or consequential damages. 

    • Costs related to obtaining replacement products or services. 

    • Data loss, corruption, or service interruptions. 

    • Amounts exceeding the fees paid by you to Monitrue in the past 12 months. 

It is not responsible for delays or failures caused by circumstances beyond its control. These limitations apply unless prohibited by applicable law. 

    1. General Representation and Warranty 
      By using Monitrue’s services, you confirm that: 

    • Your usage aligns with Monitrue’s Privacy Policy, this Agreement, and all relevant laws. 

 

    • You will not violate or misappropriate any third-party intellectual property rights. 

    1. Indemnification 
      You agree to indemnify and hold Monitrue, its contractors, licensors, employees, and agents harmless from any claims, damages, or legal fees arising from your use of the services, including any breaches of this Agreement. 

    1. No Resale or Redistribution 
      Except as expressly authorized by Monitrue, you agree not to reproduce, duplicate, copy, sell, trade, resell, modify, create derivative works, or exploit for any commercial purposes any part of the products, the use of the products, or access to the products or their code. 

If you wish to use Monitrue for commercial purposes, please contact us directly at  contact@monitrue.com to discuss a custom deal.  

You can purchase any of the products for another account, with billing details and invoices being stored under the upgraded account.  

Failure to comply with these terms, or if Monitrue has reasonable grounds to suspect non-compliance, may result in suspension or termination of your subscription. In such cases, you will not be eligible for a refund, and any current or future use of the service may be denied. 

    1. Contacting Monitrue 
      You can contact Monitrue via email at contact@monitrue.com. By doing so, you grant Monitrue a worldwide, non-exclusive, perpetual right to use any ideas, information, or materials in your communication unless prior written approval states otherwise. Do not share commercially sensitive information, as messages will not be considered confidential or subject to an NDA without prior written approval from Monitrue’s board.

      Email Communication Considerations 

    • Email is not a guaranteed or fully secure medium of communication. 

    • Emails should only be considered received if you get a manually created response from Monitrue. 

    • Unless explicitly stated otherwise, all email conversations are informal and non-binding unless confirmed in writing by Monitrue’s board. 

    • Any references or suggestions regarding changes to past, present, or future contractual terms should be considered speculative until confirmed in writing by Monitrue’s board. 

    1. Miscellaneous 
      This Agreement represents the entire understanding between Monitrue and the user. It can only be modified through: 

    1. A written amendment signed by an authorized Monitrue executive, OR 

    1. A revised version published by Monitrue. 

Unless otherwise required by applicable law, this Agreement and all matters relating to the use of Monitrue’s services shall be governed by the laws of Malta, with disputes handled in the District Court of Sliema

You may assign your rights under this Agreement to any party that agrees to comply with its terms and conditions. Monitrue may transfer its rights under this Agreement at its discretion. This Agreement will be binding upon and benefit the parties, their successors, and any authorized assignees.
